Any feedback, comments, or suggestions you provide regarding the Service are entirely voluntary, and you grant Periclase a perpetual, royalty-free, irrevocable, worldwide license to use, modify, and incorporate such feedback into the Service without any obligation or compensation to you. We may use your aggregated and de-identified data for analytics, product improvement, and other lawful business purposes.

Trademarks, service marks, logos, and trade names of Periclase may not be used without our prior written consent. Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action. You acknowledge that we may retain copies of your content even after termination of your account for backup, legal, or regulatory purposes.

6. User-Generated Content

The Service may allow you to upload, submit, post, or otherwise transmit content, including data, text, images, and other materials ("User-Generated Content"). You retain all ownership rights in your User-Generated Content. By submitting User-Generated Content to the Service, you grant Periclase a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, process, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of operating, providing, and improving the Service.

You represent and warrant that you have all necessary rights, licenses, and consents to submit your User-Generated Content to the Service and that such content does not violate the rights of any third party. You are solely responsible for your User-Generated Content and the consequences of submitting it. Periclase does not endorse, support, or guarantee the accuracy of any User-Generated Content and assumes no liability for it.

We reserve the right to remove, hide, or disable access to any User-Generated Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We may also terminate the accounts of users who are repeat infringers of intellectual property rights. 7. Payment Terms

If you purchase a paid subscription to the Service, you agree to pay all applicable fees as described on our website or within the Service. You must provide valid payment information, and you authorize Periclase to charge your designated payment method for all fees due.

Unless otherwise required by applicable US state law, all fees are non-refundable. If you reside in a jurisdiction that mandates refunds for partial subscription periods, we will process such refunds in accordance with local law. You are responsible for all taxes associated with your use of the Service, except for taxes based on Periclase's net income. If any payment is dishonored or declined, we may suspend your access to the Service until payment is resolved.

We may change our fees and billing terms upon reasonable notice. If you do not agree with the changes, you may cancel your subscription before the change takes effect. Continued use of the Service after the effective date of any fee change constitutes your acceptance of the new pricing. 8. Service Modifications

Periclase is continually innovating and improving the Service. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof), including features, functionalities, and support offerings, at any time and without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may release new features or tools that are subject to additional terms and conditions. By using these new features, you agree to be bound by any such additional terms. We may also impose limits on certain features of the Service or restrict your access to parts or all of the Service without notice or liability.

We strive to maintain high availability for the Service, but we do not guarantee that the Service will be uninterrupted, secure, or error-free at all times. We may experience scheduled or unscheduled downtime for maintenance, upgrades, or other operational reasons. We are not responsible for any loss or damage resulting from such downtime.

9. Limitation of Liability

To the maximum extent permitted by applicable US state law, in no event shall Periclase, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your access to or use of, or inability to access or use, the Service.

In no event will Periclase's total aggregate liability for any claim arising out of or relating to these Terms or the Service exceed the amount you have paid to Periclase in the twelve (12) months preceding the event giving rise to the claim, or if you have not paid any fees, one hundred dollars ($100.00). This limitation of liability applies regardless of the legal theory of liability, whether based on contract, tort, strict liability, or otherwise.

You acknowledge that the limitations of liability and disclaimers of warranty set forth in these Terms are essential elements of the basis of the bargain between you and Periclase and that these limitations reflect the allocation of risk between the parties. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. Periclase disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

You may terminate your account and stop using the Service at any time by following the instructions in your account settings or by contacting us at [email protected]. Upon termination, your right to use the Service will immediately cease. You are responsible for all fees incurred up to the date of termination.

Periclase may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach any provision of these Terms. Upon termination, we may delete your data and User-Generated Content associated with your account, though we may retain certain information as required by law or for legitimate business purposes.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of your account does not relieve you of any obligation to pay fees owed to Periclase for the period prior to termination.
